1. About these terms
1.1 These terms govern your use of ProAllocate, the website at proallocate.com and its related services (the Platform). The Platform is operated by PROALLOCATE LTD, a company registered in England and Wales (company number 17436010), with its registered office at 66 Paul Street, London EC2A 4NA (we, us, our).
1.2 By creating an account or using the Platform, you agree to these terms. If you use the Platform on behalf of an organisation, you confirm that you have authority to bind it, and “you” includes that organisation.
1.3 These terms should be read together with our Regulatory Disclaimer, AI Content Disclosure, Privacy Policy and Cookie Policy.
1.4 ProAllocate Advance and any other enterprise service is provided under a separate written agreement. Where that agreement conflicts with these terms, the agreement prevails.
2. Who may use the Platform
2.1 The Platform is intended solely for investment professionals and institutional investors. It is not intended for retail investors.
2.2 When you create an account, you certify that you are a professional, qualified or accredited investor, or a financial professional. You must tell us, and stop using the Platform, if this stops being true.
2.3 You must be at least 18 years old.
2.4 You must not use the Platform where doing so would breach the laws or regulations that apply to you.
3. Your account
3.1 Each account is for one named individual. You must not share your login or allow anyone else to use your account.
3.2 You are responsible for keeping access to your email account secure, because we sign you in by sending a link to your email address.
3.3 You must give us accurate information and keep it up to date.
3.4 Tell us straight away at support@proallocate.com if you think someone else has accessed your account.
4. Subscriptions and trials
4.1 Plans. The Platform offers free anonymous access to some pages and paid subscription plans. The features and current prices of each plan are shown on our Pricing page. Prices are shown plus VAT where applicable.
4.2 Free trials. Some monthly plans include a free trial. You must give payment details to start a trial. Unless you cancel before the trial ends, your subscription will start automatically at the end of the trial and you will be charged the price of your plan. Each person may have only one free trial. We may refuse a trial where we reasonably believe someone has already had one.
4.3 Renewal. Subscriptions renew automatically at the end of each billing period, monthly or annually, until cancelled. We charge the payment method on file at the start of each period.
4.4 Cancelling. You can cancel at any time through your account settings. Cancellation takes effect at the end of your current billing period, and you keep access until then. We do not refund part-used periods, except where the law requires us to.
4.5 Changing plans. You can upgrade through your account settings. Upgrades take effect immediately and are charged pro rata. To downgrade, contact support@proallocate.com.
4.6 Failed payments. If a payment fails, we will retry it over a period of up to two weeks and let you know. You keep access during that time. If payment has still not been made at the end of that period, your paid access ends and your account is frozen until the outstanding amount is paid.
4.7 Price changes. We may change our prices. We will give you at least 30 days’ notice before a change applies to your subscription, and you may cancel before it takes effect.
4.8 Payment processing. Payments are processed by Stripe. We do not see or store your full card details.
5. Fair use
Use of the Platform, including our AI analyst Analise, is subject to fair use.
6. Acceptable use
You must not:
(a) copy, scrape, crawl, download in bulk or systematically extract content or data from the Platform, whether manually or by automated means;
(b) redistribute, resell, publish, sublicense or make available any content from the Platform to anyone outside your account, except as allowed by clause 7.3;
(c) use content from the Platform to build, train or improve any database, dataset or AI model, or any product or service that competes with the Platform;
(d) try to get around access controls, fair-use limits, the trial rules or any security measure;
(e) interfere with, overload or disrupt the Platform;
(f) use Analise to generate content that is unlawful, misleading or infringes anyone’s rights;
(g) misrepresent any content from the Platform as the official view of an asset manager, or as ProAllocate’s investment advice.
7. Content and intellectual property
7.1 Third-party content. Research and other material published by asset managers and other third parties remains the property of those parties. Links to their websites are governed by their own terms.
7.2 Our content. The Platform, its software, design and database, and all content we create (including summaries, Signals, aggregate data and Analise responses), belong to us or our licensors.
7.3 Your licence. While your subscription is active, we give you a non-exclusive, non-transferable licence to use the Platform and its content for your own internal business purposes. You may quote insubstantial extracts in your own internal documents, provided you attribute them to ProAllocate and, where relevant, to the original publisher.
7.4 Trade marks. ProAllocate is a trade mark of PROALLOCATE LTD. Firm names and marks shown on the Platform belong to their respective owners and do not imply any affiliation with or endorsement of ProAllocate.
7.5 Material you submit. If you submit material to us, for example through our Share form, you confirm that you have the right to do so, and you give us a non-exclusive, royalty-free, worldwide licence to host, reproduce, summarise and display it on the Platform.
7.6 Feedback. If you give us suggestions or feedback, we may use them without any obligation to you.
8. Information only; AI content
8.1 The Platform provides information only. Nothing on it is investment, legal, tax or other advice, a personal recommendation, or an offer or solicitation to buy or sell any investment. Our Regulatory Disclaimer forms part of these terms.
8.2 Summaries, Signals and Analise responses are generated using AI and may contain errors. You must check the original source before relying on them. See our AI Content Disclosure.
8.3 Content, including third-party research and market data, is provided “as is”. We do not guarantee that it is accurate, complete, current or available.
9. Availability and changes
9.1 We aim to keep the Platform available but do not guarantee uninterrupted access. We may carry out maintenance and will try to give notice of planned downtime where practical.
9.2 We may add, change or remove features or content, including where a publisher withdraws or changes its material. If we make a change that materially reduces the core features of your paid plan, you may cancel and receive a pro rata refund of any prepaid fees for the rest of your billing period.
10. Suspension and termination
10.1 We may suspend or terminate your access, with notice where practical, if you breach these terms (including your certification in clause 2.2), fail to pay, or if we reasonably need to in order to protect the Platform or comply with the law.
10.2 If we terminate your subscription for convenience rather than because of your breach, we will refund any prepaid fees for the rest of your billing period.
10.3 Clauses 7, 8, 11 and 14 continue to apply after termination.
11. Our liability
11.1 Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
11.2 Subject to clause 11.1, we are not liable for any loss of profits, revenue, business, opportunity or goodwill, any investment or trading loss, or any indirect or consequential loss.
11.3 Subject to clause 11.1, our total liability to you in any 12-month period is limited to the amount you paid us in that period, or £100 if that is greater.
12. Your data
We process personal data as described in our Privacy Policy.
13. Changes to these terms
We may update these terms. For material changes, we will give you at least 30 days’ notice by email or in the Platform. If you do not agree, you may cancel before the change takes effect. Continuing to use the Platform after that date means you accept the updated terms.
14. General
14.1 Entire agreement. These terms, and the documents they refer to, are the entire agreement between us about the Platform.
14.2 Assignment. You may not transfer your rights under these terms. We may transfer ours to a successor to our business.
14.3 Events outside our control. We are not liable for delay or failure caused by events outside our reasonable control.
14.4 Severability. If any part of these terms is found unenforceable, the rest remains in effect.
14.5 No waiver. If we do not enforce a right straight away, we can still enforce it later.
14.6 Third parties. No one other than you and us has any right to enforce these terms.
14.7 Governing law. These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
